Terms and Conditions

These Terms and Conditions (“Terms”) govern all sales, quotations, deliveries, and services provided by Haihong (Jiangsu) Steel International Trading Co., Ltd., hereinafter referred to as “Seller,” to any client, entity, or business (“Buyer”).
By placing an order or engaging in business with Seller, Buyer agrees to be bound by these Terms in full, unless otherwise agreed in writing.
“Seller”: Haihong (Jiangsu) Steel International Trading Co., Ltd.
“Buyer”: The individual or company purchasing goods or services from Seller.
“Goods”: Steel products sold, including but not limited to roofing sheets, GI coils, color-coated coils, and accessories.
“Contract”: Any agreed-upon document including Proforma Invoices (PI), Sales Orders, or Purchase Agreements.
All quotations are non-binding and valid for a limited time unless explicitly stated.
Prices are exclusive of VAT, import duties, taxes, or other charges unless otherwise agreed.
Seller reserves the right to adjust prices based on changes in raw materials, currency fluctuation, or freight rates.
A sales contract is considered effective once Buyer confirms the PI and makes the agreed advance payment or Letter of Credit is issued.
Seller reserves the right to reject or cancel orders due to pricing errors, credit risk, regulatory issues, or supply limitations.
Standard payment terms are 30% advance by T/T, 70% balance before shipment or against copy of Bill of Lading.
Letter of Credit (L/C) must be irrevocable, confirmed, and payable at sight unless otherwise negotiated.
Late payments may result in order delays, interest charges, or contract termination.
Delivery terms follow Incoterms 2020, with FOB, CFR, CIF, and DDP options available.
Lead time starts only upon receipt of advance payment and final product confirmation.
Seller is not liable for delays caused by force majeure, port congestion, customs, or freight issues.
Risk transfers to Buyer upon delivery as per agreed Incoterms.
Buyer may arrange pre-shipment inspection (SGS, BV, Intertek) at their own cost or request Seller to do so.
Buyer must inspect goods upon delivery and notify Seller of any damage, shortage, or defect within 5 calendar days.
Failure to notify within the stated period constitutes unconditional acceptance of the goods.
Seller provides a limited 12-month warranty on product defects as outlined in the Warranty Policy.
Coating and performance warranties (e.g., anti-corrosion, color fade) apply only if agreed in writing.
Seller is not responsible for misuse, improper storage, or third-party handling damage.
Returns are only accepted for material defects or incorrect deliveries, with prior written approval.
All claims must be supported with clear evidence (photos, inspection report) within the required timeframe.
Compensation is limited to repair, replacement, or credit; indirect or consequential losses are excluded.
All product designs, photos, website content, and technical documentation remain the intellectual property of the Seller.
Reproduction, distribution, or misuse of such content is strictly prohibited without written consent.
All technical, commercial, and contractual information exchanged between Buyer and Seller shall remain confidential and may not be disclosed to third parties without mutual written consent.
These Terms are governed by the laws of the People’s Republic of China, unless otherwise agreed.
Any disputes shall first be resolved through good-faith negotiation. If unresolved, disputes will be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) or another mutually agreed arbitration body.
Arbitration language: English or Chinese
Arbitration decision shall be final and binding.
Seller shall not be liable for non-performance or delays due to circumstances beyond its reasonable control, including but not limited to natural disasters, war, sanctions, labor strikes, or governmental restrictions.
Either party may terminate the contract in the event of material breach, insolvency, or force majeure exceeding 60 days.
Buyer is liable for any production costs or commitments made before termination.
Seller reserves the right to update these Terms periodically. Continued transactions after updates will constitute Buyer’s acceptance of the new Terms.
